Adagioアプリケーションサービス 利用規約
Adagio合同会社（以下「当社」）が提供するアプリケーションサービスの利用条件を定めます。
対象は Writer、Reader、UMP、Focaccia、FactSpot、Simbion、UTAR、Hyper Dashboard の8つです（以下「本サービス」）。
第1条（適用）
本規約は、本サービスの利用に関する当社と利用者との関係に適用されます。個別のサービスについて別の条件を定めた場合は、その条件が本規約に優先します。
第2条（アカウント）
一部のサービスは招待制です。招待を受けた方だけが利用できます。
アカウントの登録には、確認済みのメールアドレスを持つ Google アカウントが必要です。1人につき1つとし、複数の作成はできません。
本サービスは共通のアカウント基盤を使っており、1つのアカウントで複数のサービスを利用できます。この基盤の ID は、業務用のサービスでは「Adagio ID」、読者向けの道北のサービス（UTAR とその連携サービス、道北ライフ）では「道北ライフID」と表示します。2026年10月4日までは「UTAR ID」と呼んでいました。1つのサービスで本規約に違反した場合、当社は他のサービスの利用についても停止することがあります。
アカウントは本人が管理するものとし、第三者に使わせることはできません。アカウントを通じて行われた操作は、その本人によるものとして扱います。
登録した情報に変更があった場合は、速やかに修正してください。
第3条（有料での利用）
一部のサービスには有料のプランがあります。プランの内容と料金は、各サービスの画面に表示します。
決済は Stripe が処理します。当社はクレジットカード番号を保持しません。
有料のプランは、解約の手続きがない限り、期間ごとに自動で更新されます。解約はいつでも手続きでき、その期間の終わりまでは利用できます。
すでにお支払いいただいた料金は、原則として返金しません。ただし本サービスの側に重大な障害があった場合は、当社が調査のうえ、合理的な範囲で対応します。
料金や提供の上限を改定することがあります。改定は事前にお知らせし、次の更新日から適用します。
第4条（利用者が作ったものの権利）
利用者が投稿・作成した文章、画像、データの権利は、利用者または正当な権利者に帰属します。当社はこれを取得しません。
当社は、本サービスの提供に必要な範囲（保存、表示、配信、バックアップ）でこれらを利用します。この範囲を超えて利用する場合は、あらかじめご本人の同意を得ます。
ニュースレターの購読者名簿は、その媒体を運営する事業者のものとして扱います。当社が営業のために利用することも、他の事業者へ提供することもありません。
第5条（当社の知的財産）
本サービスそのもの（プログラム、画面の構成、文章、図案、商標）に関する権利は、当社または正当な権利者に帰属します。本規約は、これらの権利を利用者へ移転するものではありません。
利用者は、本サービスを利用する目的の範囲を超えて、これらを複製、改変、頒布することはできません。
第6条（禁止すること）
法令または公序良俗に反する行為、他人の権利を侵害する行為、他人になりすます行為はできません。
本サービスの運営を妨げる行為、不正にアクセスする行為、自動化された手段で過度な負荷をかける行為はできません。
同意を得ていない宛先へ広告や勧誘のメールを送るために、当社の配信の仕組みを使うことはできません。
第7条（メールの配信）
当社の仕組みを使ってメールを配信する利用者は、特定電子メールの送信の適正化等に関する法律を守る責任を負います。送信者の表示（名称と住所）を正しく設定し、受信者が配信を止められる状態を保ってください。
当社は、この条件を満たさない配信を停止することがあります。
第8条（利用者が預かるデータ）
窓口や購読の仕組みを通じて第三者の個人情報を受け取る利用者は、その取り扱いについて自ら責任を負います。取得の目的を示し、必要な同意を得てください。
第9条（反社会的勢力の排除）
利用者は、自らが暴力団、暴力団員、暴力団準構成員、暴力団関係企業、総会屋、社会運動等標榜ゴロ、特殊知能暴力集団その他これらに準ずる者（以下「反社会的勢力」）に該当しないこと、および反社会的勢力と関係を有しないことを表明し、保証します。
これに違反した場合、当社は通知することなく、直ちに利用を停止し、または終了することができます。
第10条（サービスの変更と停止）
当社は、本サービスの内容を変更し、または提供を停止することがあります。停止する場合は、やむを得ないときを除き、あらかじめお知らせします。
第11条（利用の停止）
利用者が本規約に違反した場合、当社はあらかじめ通知することなく、利用を停止し、またはアカウントを削除することがあります。
第12条（保証しないこと）
当社は、本サービスが利用者の特定の目的に適合すること、期待する成果を生むこと、中断や不具合が生じないことを保証しません。
外部の公開情報を自動で取得して表示する機能について、その内容の正確性と最新性を保証しません。重要な事項は一次情報でご確認ください。
第13条（責任の範囲）
当社は、本サービスの利用によって生じた損害について、当社の故意または重大な過失による場合を除き、責任を負いません。
有料で提供しているサービスについて当社が責任を負う場合、その額は、損害が生じた時点から遡って12か月のあいだに当該利用者から受領した対価の総額を上限とします。
第14条（個人情報）
個人情報の取り扱いは、Adagioアプリケーションサービス プライバシーポリシーに従います。
第15条（規約の変更）
当社は、必要に応じて本規約を変更することがあります。変更する場合は、変更後の内容と効力が生じる日を、あらかじめこのページに掲載します。掲載後に本サービスを利用した場合、変更後の規約に同意したものとみなします。
第16条（準拠法と管轄）
本規約は日本法に準拠します。本サービスに関して紛争が生じた場合、旭川地方裁判所を第一審の専属的合意管轄裁判所とします。
第17条（この規約の位置づけ）
本規約は、対象となる8つのサービスに共通して適用されます。サービスごとに別の利用規約は設けません。各サービスの画面から参照されているものは、いずれもこの文書です。

Scope
These terms govern your use of our eight application services: Writer, Reader, UMP, Focaccia, FactSpot, Simbion, UTAR and Hyper Dashboard. Where a service sets its own conditions, those take precedence. We do not maintain separate terms for any individual service.
Accounts
Some services are invitation-only. You need a Google account with a verified email address. One person may hold one account; multiple accounts are not permitted.
Our services share a single account layer, so one account works across them. Its ID is shown as "Adagio ID" in our business services and as "Dohoku Life ID" in our reader-facing services in northern Hokkaido (UTAR, its connected services and Dohoku Life). It was called "UTAR ID" until 4 October 2026. If you breach these terms in one service, we may suspend your use of the others.
You are responsible for your account. Anything done through it is treated as done by you.
Paid use
Some services offer paid plans. Plan contents and prices are shown in the service. Payments are handled by Stripe; we never hold card numbers.
Paid plans renew automatically each period unless cancelled. You may cancel at any time and keep access until the end of the current period.
Fees already paid are not refunded, except that where a serious fault on our side has occurred we will investigate and respond within reason.
We may revise prices and usage limits. We will tell you in advance, and the change takes effect from your next renewal.
What you create
Rights in the text, images and data you post or create remain yours, or those of the rightful owner. We do not acquire them. We use them only as needed to provide the service (storage, display, delivery, backup). Anything beyond that requires your consent.
Newsletter subscriber lists belong to the business running that publication. We neither use them for our own sales nor pass them to others.
What we own
The services themselves — the software, the interface, the text, the designs and the marks — belong to us or to their rightful owners. These terms transfer none of that to you. You may not copy, modify or distribute them beyond what using the service requires.
What you may not do
You may not break the law or public order, infringe the rights of others, or impersonate anyone. You may not interfere with the running of the services, access them improperly, or place undue load on them through automated means. You may not use our sending facilities to mail advertising or solicitation to recipients who have not consented.
Sending email
If you send email through our facilities, you are responsible for complying with Japan's Act on Regulation of Transmission of Specified Electronic Mail. Set the sender identification (name and address) correctly and keep an unsubscribe route working. We may stop sending that does not meet these conditions.
Data you hold
If you receive other people's personal data through a form or a subscription, you are responsible for how you handle it. State your purpose and obtain the consent you need.
Organised crime groups
You represent and warrant that you are not, and have no relationship with, an organised crime group or any equivalent party. If you breach this, we may suspend or terminate your use immediately and without notice.
Changes, suspension and termination
We may change or discontinue a service. Unless circumstances prevent it, we will tell you in advance. If you breach these terms, we may suspend your use or delete your account without prior notice.
No warranty
We do not warrant that a service will suit your particular purpose, produce the results you expect, or run without interruption or fault. Where a service displays information gathered automatically from public sources, we do not warrant its accuracy or currency; check anything important against the original source.
Limitation of liability
We are not liable for loss arising from your use of the services, except where caused by our intent or gross negligence. Where we are liable in relation to a paid service, our liability is capped at the total amount you paid us in the twelve months preceding the loss.
Personal data
Handled as set out in the Adagio Application Services Privacy Policy.
Amendments
We may amend these terms. We will publish the amended text and its effective date on this page in advance. Using the services after publication means you accept the amended terms.
Governing law
Japanese law applies. The Asahikawa District Court has exclusive jurisdiction of the first instance over any dispute.
